Mentor vs. mentee in what would be one of the most emotionally charged fights in Marvel. Peter's spider-sense and agility make him incredibly hard to hit, but Tony's suit provides overwhelming firepower and the ability to fight from the air.
Spider-Man's advantages: spider-sense (effective precognition), superior close-range agility, web-shooters that could foul repulsors or joints, and genius-level intellect that rivals Tony's. Peter is also significantly stronger than the standard Iron Man suit's strength augmentation.
Iron Man's advantages: flight, energy projection at range, AI combat assistance, and an arsenal of weapons specifically designed for diverse threats. Tony can also adapt the nano-suit in real-time to counter Spider-Man's web-based attacks.
The deciding factor is range. If Tony stays airborne and uses ranged attacks, Peter's spider-sense helps him dodge but gives him no offensive options beyond web-swinging into melee range โ which puts him in the path of Tony's full arsenal.
