This is one of the most interesting cross-publisher matchups because both characters share so much thematically โ genius-level intellect, tragic backstory, a refusal to kill. But physically, they're in completely different leagues.
Spider-Man can lift approximately 10 tons, dodge bullets with his spider-sense, and move with agility that makes Olympic gymnasts look clumsy. Batman, despite being the absolute peak of human physical potential, is still fundamentally human. His utility belt has answers for almost any situation โ EMP devices could disrupt web-shooters, gas grenades could impair spider-sense, and his combat skill is peak human. Batman has also studied and defeated opponents with precognitive abilities before.
Spider-Man is stronger by a factor of 10, faster by a significant margin, and has built-in precognition. His webbing can immobilize Batman almost instantly, and his own intellect (Reed Richards has acknowledged Peter as one of the smartest people on Earth) means he can match Bruce tactically. In every direct physical metric, Spider-Man holds a commanding advantage.
Spider-Man wins a standard encounter 7-8 times out of 10. The superhuman stats gap is simply too large for Batman to overcome without specific preparation. Peter is stronger, faster, more agile, has precognition, AND is nearly as smart as Bruce. Batman with full prep time could potentially find a way, but in a random encounter, Spider-Man takes it decisively.
