Spider-Man's superior strength, speed, and spider-sense overwhelm Daredevil's martial arts mastery.
Daredevil is one of Marvel's greatest hand-to-hand fighters, arguably top five in the entire universe. His radar sense gives him a 360-degree awareness of his surroundings, and his martial arts skills are extraordinary. But Spider-Man simply outclasses him in raw stats by a wide margin.
Spider-Man can lift roughly 10 tons, moves fast enough to dodge automatic gunfire casually, and his spider-sense provides precognitive danger awareness that neutralizes Daredevil's ambush and misdirection tactics. Peter has also trained with skilled fighters and his combat instincts have sharpened over years of superhero work.
Daredevil's path to victory requires exploiting Peter's reluctance to use lethal force and his tendency to hold back. In a dark, enclosed environment where Matt can leverage his blindness as an advantage, he could land some clean hits. But Peter's durability means those hits do far less damage than Matt is used to dealing.
Daredevil is among the most skilled martial artists in Marvel, with training from Stick and years of brutal street-level combat. His radar sense cannot be fooled by darkness or visual tricks, and his tenacity in a fight is legendary.
Spider-Man is stronger, faster, more durable, and has precognitive spider-sense that warns him of incoming attacks. He can web Daredevil from range and his agility allows him to fight from angles Matt cannot easily counter.
Spider-Man wins through sheer physical superiority, though Daredevil would make it a respectable fight. Peter's strength and spider-sense are too much for even the most skilled peak-human fighter to overcome consistently.
