Ghost Rider's supernatural invulnerability and soul-attacking powers leave Batman with no viable path to victory.
Batman has defeated many superhuman opponents through preparation and gadgets, but Ghost Rider presents a unique problem โ the Spirit of Vengeance is a supernatural entity that cannot be defeated through physical or technological means. No Batarang, explosive, or EMP can stop a divine being.
Ghost Rider's hellfire burns the soul, bypassing Batman's armor entirely. The Penance Stare would be interesting against Batman โ Bruce has caused suffering, but mostly to criminals in pursuit of justice. The Stare might be less devastating than against true villains, but Batman is not innocent of causing pain.
Batman's only potential counter is mystical โ if he could access magical artifacts or enlist help from Constantine or Zatanna. But in a solo encounter, Bruce has no tools that can affect the Spirit of Vengeance. His physical and technological arsenal is entirely the wrong type of weapon for this fight.
Batman's tactical genius and preparation might find mystical countermeasures to supernatural threats. His willpower and determination are extraordinary, and he has access to mystical contacts and artifacts in the DC universe.
Ghost Rider cannot be hurt by any technology or physical attack Batman possesses. Hellfire burns the soul regardless of armor, and the Penance Stare bypasses all physical defenses. Batman has no supernatural tools in his standard loadout.
Ghost Rider wins because Batman has no tools to combat a supernatural entity. Bruce's gadgets and martial arts are useless against a being whose attacks target the soul and whose body regenerates from all physical damage.
